This document is an official public offer (public offer agreement) in accordance with Article 407 of the Civil Code of the Republic of Belarus and is addressed to an indefinite circle of persons. By performing the actions specified in clause 1.3 below, the User accepts (accepts) this offer and thereby agrees to all its terms without exception.
LEGAL STATUS OF THE DOCUMENT (PUBLIC OFFER)
This document constitutes an official public offer (Public Offer Agreement) of the Executor and contains all essential terms for providing access to the Stereonix Space platform and digital media processing services. In accordance with Article 407 of the Civil Code of the Republic of Belarus, the execution by the User of the actions specified in clause 1.3 of this Agreement constitutes full, unconditional, and irrevocable acceptance (acceptance) of all the terms of this offer. From the moment of acceptance, this Agreement is deemed concluded in writing.
Welcome to Stereonix Space. Please read these Public Offer Agreement carefully before utilizing our automated media processing platform. By accessing or using the platform, you express your complete agreement to be bound by these terms.
1.1. This document constitutes a public offer agreement in accordance with Article 407 of the Civil Code of the Republic of Belarus. The agreement is legally binding upon its acceptance by the User.
1.2. This Agreement is concluded between the Service Platform Provider (hereinafter referred to as the "Executor"), operating as an individual entrepreneur or a natural person applying the special tax regime "Professional Income Tax" under the laws of the Republic of Belarus, and any individual or legal entity utilizing the platform (hereinafter referred to as the "User").
1.3. Full and unconditional acceptance (acceptance) of this offer is performed electronically via specific actions (concluding actions), including launching the official platform interface (Telegram bot), completing the system billing verification field, or acquiring internal digital platform balance units.
2.1. The Executor grants the User a access right to the automated features of the Stereonix Service, which specializes in visual and audio content processing using custom digital media filters.
2.2. The Service infrastructure functions as an automated ecosystem accessible via the authorized Telegram communication node and the official Web Dashboard.
3.1. Upon initial verification of the account profile parameters, the User is automatically granted a 30-day free trial period to test the media processing tools.
3.2. After the free trial period expires, continued utilization of the platform features requires an upgrade via the internal platform billing structure at a rate of 500 Telegram Stars per 30 calendar days.
3.3. To protect users from unexpected balance changes, the Service does not utilize automatic subscription renewals or hidden recurring charges. All platform balance extensions must be executed manually and intentionally by the User.
4.1. All platform transactions, technical level upgrades, and voluntary donations (gifts "from the heart" to support development) are processed strictly via the native Telegram Stars digital infrastructure.
4.2. Digital access modifications, filter limits, and processing slots are provided immediately upon transaction completion and are deemed fully delivered and of proper quality. No refunds or reversals of Telegram Stars are technically or legally supported, except in cases of verified platform-side server malfunctions.
4.3. The contract cost is denominated and accounted for strictly in Telegram Stars digital units. The standard access tier is fixed at 500 Telegram Stars per 30 calendar days, unless otherwise specified inside the platform interface at the exact moment of transaction initiation.
4.4. The Parties explicitly agree that the Services are deemed fully, properly, and successfully delivered by the Executor and accepted by the User without any reservations immediately at the moment when technical access to the platform tools is provisioned (activation of the 30-day tier or processing slot execution). The compilation or signing of bilateral physical acceptance certificates is not required.
4.5. Voluntary development support donations (gifts "from the heart") are recognized legally as unconditional gratuitous donations. They do not impose any counter-obligations or service level agreements upon the Executor and cannot be refunded under any circumstances.
5.1. The platform is designed exclusively for users whose digital accounts and regions natively support full payment infrastructure operations with Telegram Stars.
5.2. Access to the platform's paid tools and registration paths is restricted for accounts originating from or registered within the Republic of Belarus, the Russian Federation, and Germany due to technical architecture and processing non-eligibility.
5.3. Prior to activating the free trial, the User must pass the instant billing verification. By checking the verification field, the User explicitly confirms their account readiness and technical familiarity with the Telegram Stars infrastructure.
5.4. Bypassing these filters via network masking tools (VPN, proxies) is strictly prohibited and constitutes a material breach of this Agreement, leading to instant permanent profile restriction without balance recovery. The remaining balance of Telegram Stars shall be withheld as a contractual fine for unauthorized access.
6.1. The Platform is provided on an "As Is" and "As Available" basis. The Executor does not warrant that the platform will meet the User's subjective expectations, function uninterruptedly, or be entirely error-free. The Executor shall not be liable for any technical failures, data corruption, or downtime originating within the Telegram Messenger ecosystem or Telegram Stars ledger infrastructure.
6.2. The User bears sole and full responsibility for the content (audio, video, photos) processed by him/her using the Platform. The Executor does not does not monitor, store or pre-moderate of user media and shall not be held liable for any infringement of copyright, trademarks, or applicable laws committed by the User via the platform tools.
6.3. Under no legal theory shall the Executor be liable for any indirect, incidental, special, or consequential damages, including loss of profit or data loss. The maximum aggregate liability of the Executor under this agreement is strictly capped at the equivalent amount of Telegram Stars received from the specific User during the preceding 30 calendar days.
7.1. All technical architecture, underlying program code, user interface designs, custom media filter configurations, and proprietary processing algorithms are the exclusive intellectual property of the Executor.
7.2. The User receives a limited, non-transferable, revocable license to use the functionality to process the media streams he selects. Any structural replication, distribution, or reverse engineering of the platform components is strictly prohibited.
8.1. All legal relations, validity parameters, and claims connected to this Agreement shall be governed and interpreted under the laws of the Republic of Belarus. Any unresolved claims must be submitted to the court at the Executor's official place of registration (residence) in the Republic of Belarus.
8.2. Prior to submitting a claim to the court, a mandatory pre-trial dispute resolution sequence must be performed. The party raising a claim must submit a written digital statement to the other party's official communication node. The response window is fixed at thirty (30) calendar days.
9.1. The Executor reserves the right to unilaterally modify, rewrite, or update the terms of this Offer, including structural pricing and filter access tiers, without prior individual notice to the User. The revised edition takes legal effect immediately upon its publication on the Platform interface or Web Dashboard.
9.2. Continued utilization of the platform features after changes are posted constitutes full legal consent of the User to the updated terms. If the User rejects the modifications, they must instantly cease utilizing the Service.
9.3. The Executor is entitled to permanently restrict or block the User's profile and terminate this agreement unilaterally without court intervention if the User breaches any core provision of this agreement (including clauses 5.2 and 5.4) or performs actions threatening the digital security of the platform.

| 1. GENERAL PROVISIONS 1.1. This document constitutes a public offer agreement in accordance with Article 407 of the Civil Code of the Republic of Belarus. 1. ОБЩИЕ ПОЛОЖЕНИЯ 1.1. Настоящий документ является договором публичной оферты в соответствии со статьей 407 Гражданского кодекса Республики Беларусь. Договор имеет полную юридическую силу с момента его принятия (акцепта) Пользователем. 1.2. Настоящий Договор заключается между Исполнителем — физическим лицом, применяющим специальный налоговый режим «Налог на профессиональный доход» (самозанятый) в соответствии с законодательством Республики Беларусь, и любым физическим или юридическим лицом, использующим платформу (далее — «Пользователь»). 1.3. Полным и безоговорочным принятием (акцептом) условий настоящей оферты является совершение Пользователем конклюдентных действий: запуск официального интерфейса платформы (ТГ-бота), прохождение формы верификации биллинга или приобретение внутренних расчетных единиц платформы. |

Исполнитель предоставляет Пользователю право доступа к автоматизированным функциям сервиса Stereonix Space, специализирующегося на обработке визуального и аудиоконтента с использованием кастомных цифровых медиа-фильтров. 2.2. Инфраструктура Сервиса функционирует как автоматизированная экосистема, доступная через авторизованный узел связи Telegram (ТГ-бот) и официальную веб-панель (Web Dashboard). |
| 3. TRIAL PERIOD & INFRASTRUCTURE TERMS 3.1. 3. ИСПЫТАТЕЛЬНЫЙ ПЕРИОД И УСЛОВИЯ ИНФРАСТРУКТУРЫ 3.1. После первоначальной верификации параметров профиля аккаунта Пользователю автоматически предоставляется 30-дневный бесплатный пробный период для тестирования инструментов обработки медиаданных. 3.2. После истечения бесплатного пробного периода для продолжения использования функций платформы требуется обновление тарифного плана через внутреннюю биллинговую структуру платформы по тарифу 500 Telegram Stars за 30 календарных дней. 3.3. Для защиты пользователей от непредвиденных изменений баланса Сервис не использует автоматическое продление подписки или скрытые периодические платежи. Все продления баланса платформы должны выполняться Пользователем вручную и осознанно. |

4. БИЛЛИНГОВЫЙ КОНТУР И ПОЖЕРТВОВАНИЯ 4.1. Все транзакции на платформе, обновления технического уровня и добровольные пожертвования (подарки «от чистого сердца» в поддержку разработки) обрабатываются строго через нативную цифровую инфраструктуру Telegram Stars. 4.2. Изменения цифрового доступа, лимиты фильтров и слоты обработки предоставляются сразу после завершения транзакции и считаются предоставленными в полном объеме и надлежащего качества. Возврат или отмена транзакций Telegram Stars технически и юридически не поддерживаются, за исключением случаев подтвержденных сбоев в работе серверов на стороне платформы. 4.3. Стоимость доступа номинируется и учитывается исключительно в цифровых единицах Telegram Stars. Базовая стоимость доступа составляет 500 Telegram Stars за 30 календарных дней, если иное прямо не указано в интерфейсе Платформы в момент совершения транзакции. 4.4. Стороны признают, что Услуги считаются оказанными Исполнителем в полном объеме, надлежащего качества и принятыми Пользователем без замечаний непосредственно в момент предоставления технического доступа к функциям платформы (активации 30-дневного периода или применения фильтра). Формирование и подписание двусторонних актов приема-передачи услуг не требуется. 4.5. Добровольные пожертвования (Donations / Gifts / From the heart) признаются безвозмездным дарением в целях поддержки и развития проекта, не налагают на Исполнителя каких-либо встречных обязательств и не подлежат возврату ни при каких обстоятельствах. |

5. РЕГИОНАЛЬНОЕ СООТВЕТСТВИЕ И ОГРАНИЧЕНИЯ 5.1. Платформа предназначена исключительно для пользователей, чьи цифровые аккаунты и регионы нативно поддерживают полноценную работу платежной инфраструктуры с Telegram Stars. 5.2. Доступ к платным инструментам платформы и путям регистрации ограничен для аккаунтов, происходящих из Республики Беларусь, Российской Федерации и Германии или зарегистрированных в них, в связи с особенностями технической архитектуры и невозможностью обработки данных. 5.3. Перед активацией бесплатного пробного периода Пользователь должен пройти мгновенную верификацию биллинга. Отмечая поле верификации, Пользователь прямо подтверждает готовность своего аккаунта и техническое знакомство с инфраструктурой Telegram Stars. 5.4. Обход этих фильтров с помощью инструментов маскировки сети (VPN, прокси-серверы) строго запрещен и является существенным нарушением настоящего Договора, влекущим за собой мгновенное постоянное ограничение профиля без восстановления баланса. Уплаченные Telegram Stars удерживаются в пользу Платформы в качестве штрафа за несанкционированный доступ. |

6. ОГРАНИЧЕНИЕ ОТВЕТСТВЕННОСТИ И ГАРАНТИИ 6.1. Платформа предоставляется на условиях «как есть» (As Is). Исполнитель не гарантирует, что Платформа будет соответствовать субъективным ожиданиям Пользователя, функционировать непрерывно, быстро и без ошибок. Исполнитель не несет ответственности за технические сбои на стороне мессенджера Telegram или инфраструктуры Telegram Stars. 6.2. Пользователь несет единоличную и полную ответственность за контент (аудио, видео, фото), обрабатываемый им с помощью Платформы. Исполнитель не отслеживает, не сохраняет и не осуществляет предварительную модерацию файлов и потоков Пользователя и не несет ответственности за нарушение Пользователем авторских прав, прав на товарные знаки или применимого законодательства третьих лиц при использовании Платформы. 6.3. Исполнитель ни при каких обстоятельствах не несет ответственности перед Пользователем за любой косвенный, случайный, непреднамеренный ущерб, упущенную выгоду или потерю данных, вызванную использованием или невозможностью использования Платформы. Максимальный размер ответственности Исполнителя ограничен суммой Telegram Stars, полученной от Пользователя за последние 30 дней. |
| 7. INTELLECTUAL PROPERTY RIGHTS 7.1. 7. ПРАВА НА ИНТЕЛЛЕКТУАЛЬНУЮ СОБСТВЕННОСТЬ 7.1. Вся техническая архитектура, лежащий в основе программный код, дизайн пользовательского интерфейса, конфигурации кастомных медиа-фильтров и проприетарные алгоритмы обработки являются исключительной интеллектуальной собственностью Исполнителя. 7.2. Пользователь получает ограниченную, непередаваемую, отзываемую лицензию на использование функционала для обработки выбранных им медиапотоков. Любое структурное копирование, распространение или обратный инжиниринг (реверс-инжиниринг) компонентов платформы строго запрещены. |
| 8. APPLICABLE LAW & DISPUTE RESOLUTION 8.1. All legal relations, validity parameters, and claims connected to this Agreement shall be governed and interpreted under the laws of the Republic of Belarus. Any unresolved claims must be submitted to the court at the Executor's official place of registration (residence) in the Republic of Belarus. 8.2. Prior to submitting a claim to the court, a mandatory pre-trial dispute resolution sequence must be performed. 8. ПРИМЕНИМОЕ ПРАВО И РАЗРЕШЕНИЕ СПОРОВ 8.1. Все правоотношения, действительность условий и претензии, связанные с настоящим Договором, регулируются и трактуются в соответствии с законодательством Республики Беларусь. Любые неурегулированные споры подлежат рассмотрению в суде по месту регистрации (жительства) Исполнителя в Республики Беларусь. 8.2. До обращения в суд соблюдение претензионного (досудебного) порядка урегулирования споров обязательно. Сторона, заявляющая претензию, должна направить другой стороне мотивированное заявление в электронном виде. Срок рассмотрения претензии составляет 30 (тридцать) календарных дней. |
| 9. MODIFICATION AND TERMINATION 9.1. The Executor reserves the right to unilaterally modify, rewrite, or update the terms of this Offer, including structural pricing and filter access tiers, without prior individual notice to the User. The revised edition takes legal effect immediately upon its publication on the Platform interface or Web Dashboard. 9.2. Continued utilization of the platform features after changes are posted constitutes full legal consent of the User to the updated terms. If the User rejects the modifications, they must instantly cease utilizing the Service. 9.3. The Executor is entitled to permanently restrict or block the User's profile and terminate this agreement unilaterally without court intervention if the User breaches any core provision of this agreement (including clauses 5.2 and 5.4) or performs actions threatening the digital security of the platform. |
9. ИЗМЕНЕНИЕ И РАСТОРЖЕНИЕ ДОГОВОРА 9.1. Исполнитель оставляет за собой право в одностороннем порядке изменять условия настоящей Оферты, включая стоимость доступа и перечень доступных фильтров, без предварительного уведомления Пользователя. Новая редакция вступает в силу с момента ее публикации на Платформе или Web Dashboard. 9.2. Продолжение использования Платформы после внесения изменений означает согласие Пользователя с новой редакцией Оферты. Если Пользователь не согласен с изменениями, он обязан прекратить использование Платформы. 9.3. Исполнитель имеет право в любой момент заблокировать аккаунт Пользователя и расторгнуть Договор в одностороннем внесудебном порядке в случае нарушения Пользователем условий настоящего Договора (включая п. 5.2 и 5.4), а также в случае совершения действий, угрожающих информационной безопасности Платформы. |
